Terms of Service

By using the Services, you confirm that:

• You have read, understood, and agree to these Terms; and

• You are at least 18 years old, or have legal capacity to enter into a binding agreement.

If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Runable provides a design-first AI agent platform that enables users to generate, edit, and export digital artifacts, including but not limited to:

• Websites

• Presentations and documents

• Reports

• Images and videos

• Podcasts and audio

• Spreadsheets

• Browser automations and connectors

• Other AI-generated or AI-assisted outputs

The Services may change, improve, or evolve over time. We reserve the right to add, modify, or discontinue any part of the Services at any time without liability.

To access certain features, you must create an account.

You agree to:

• Provide accurate and complete information;

• Keep your account details up to date;

• Maintain the confidentiality of your login credentials; and

• Accept responsibility for all activities that occur under your account.

You are responsible for safeguarding your account. Runable is not liable for unauthorized access resulting from your failure to secure your credentials.

You agree to use the Services only for lawful purposes and in compliance with these Terms.

You must not:

• Use the Services to violate any applicable law or regulation;

• Generate, upload, or distribute content that is illegal, harmful, abusive, hateful, defamatory, obscene, or infringing;

• Attempt to reverse engineer, scrape, exploit, or interfere with the Services or underlying models;

• Circumvent usage limits, billing systems, or security measures;

• Use the Services to impersonate others or misrepresent affiliation;

• Use the Services to build or train competing AI systems without explicit written permission.

We reserve the right to investigate and take action against violations, including suspension or termination.

You retain ownership of any content, data, prompts, or materials you submit to the Services ("User Content").

By using the Services, you grant Runable a limited, non-exclusive, worldwide license to process, store, and use User Content solely for:

• Providing and improving the Services;

• Generating outputs at your request;

• Maintaining platform functionality, safety, and compliance.

You represent and warrant that you have all necessary rights to submit User Content and that doing so does not violate any law or third-party rights.

The Services generate outputs using artificial intelligence models.

You acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, or inappropriate;

• Outputs are provided as-is and may require human review;

• You are solely responsible for how outputs are used, published, or relied upon;

• Runable does not guarantee originality, accuracy, legality, or fitness for a particular purpose.

You are responsible for verifying outputs before using them in business, legal, medical, financial, or other high-risk contexts.

Runable provides templates, layouts, and design assets for inspiration and use.

Unless otherwise stated:

• Templates are licensed for use through the Services;

• You may use exported outputs commercially;

• You may not resell, redistribute, or offer templates as standalone products or competing services.

Runable may offer an affiliate, referral, or partner program ("Affiliate Program") that allows approved participants ("Affiliates") to earn commissions for referring new users to the Services.

Eligibility & Enrollment

• Participation in the Affiliate Program is subject to approval by Runable.

• We reserve the right to accept or reject any affiliate application at our sole discretion.

• Affiliates must comply with these Terms and any additional affiliate-specific guidelines provided by Runable.

Affiliate Conduct

Affiliates agree to:

• Promote Runable honestly and accurately;

• Not engage in misleading, deceptive, or fraudulent marketing practices;

• Not make false claims, guarantees, or representations about Runable or its Services;

• Comply with all applicable advertising, consumer protection, and disclosure laws (including FTC endorsement guidelines, where applicable).

Affiliates must clearly disclose their affiliate relationship where required by law.

Prohibited Activities

Affiliates must not:

• Use spam, automated messaging, or unsolicited communications;

• Bid on Runable's brand name or trademarks in paid advertising without written permission;

• Impersonate Runable or present themselves as employees or official representatives;

• Manipulate referrals, sign-ups, or payments through self-referrals, bots, or other abusive tactics.

Commissions & Payments

• Commission rates, payout thresholds, eligible actions, and payment schedules are defined within the Affiliate Program dashboard or documentation.

• Commissions are earned only on qualified referrals as determined by Runable.

• We reserve the right to withhold or reverse commissions for fraudulent, abusive, or invalid activity.

All payouts are subject to applicable taxes, and Affiliates are responsible for any tax obligations arising from commission earnings.

Termination of Affiliate Participation

Runable may suspend or terminate an Affiliate's participation:

• For violation of these Terms or affiliate guidelines;

• For conduct that harms Runable's brand, users, or reputation;

• At any time, with or without cause, at our sole discretion.

Upon termination, Affiliates must immediately cease use of Runable branding, referral links, and promotional materials.

No Employment or Partnership

Participation in the Affiliate Program does not create any partnership, joint venture, agency, employment, or fiduciary relationship between the Affiliate and Runable.

Certain features require paid subscriptions, credits, or usage-based billing.

By purchasing or subscribing:

• You authorize Runable to charge applicable fees;

• Fees are non-refundable unless required by law;

• Usage limits, credit expirations, and plan details are described at checkout or in your account dashboard.

We may update pricing or plans with reasonable notice.

The Services may integrate with or link to third-party platforms, tools, or services.

Runable is not responsible for:

• Third-party content, policies, or practices;

• Any damages or losses caused by third-party services.

Your use of third-party services is governed by their respective terms.

All rights, title, and interest in the Services — including software, branding, logos, UI, workflows, and proprietary systems — are owned by Runable or its licensors.

Except as expressly permitted, you may not:

• Copy, modify, distribute, or sell any part of the Services;

• Use Runable branding without prior written consent.

We may suspend or terminate your access if:

• You violate these Terms;

• Your use poses legal, security, or operational risk;

• Required by law or regulation.

You may stop using the Services at any time. Termination does not relieve you of obligations incurred before termination.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNABLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNABLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES.

RUNABLE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO RUNABLE IN THE PRECEDING 12 MONTHS.

You agree to indemnify and hold harmless Runable, its affiliates, officers, and employees from any claims, damages, liabilities, and expenses arising from:

• Your use of the Services;

• Your User Content;

• Your violation of these Terms or applicable law.

We may update these Terms from time to time. The updated version will be posted on our website with a revised "Last Updated" date.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Runable is incorporated, without regard to conflict-of-law principles.
